- Provide expert legal counsel and strategic advice to senior management, investment committees, and deal teams throughout the M&A lifecycle.
- Coordinate effectively with internal legal personnel, external legal counsel, financial advisors, and other third-party service providers to ensure efficient transaction execution.
- Manage and oversee regulatory compliance and filings necessary for M&A transactions.
- Contribute to the development and implementation of post-closing integration strategies from a legal standpoint.
- Maintain an up-to-date understanding of M&A market dynamics, regulatory landscapes, and evolving legal practices.
- Offer ongoing legal support and guidance to the firm's existing portfolio companies as required.
- Cultivate and nurture strong professional relationships with investment bankers, corporate lawyers, and other key industry stakeholders.
- Contribute to the enhancement of the firm's M&A policies, playbooks, and internal legal processes.
- Play a key role in achieving the overarching strategic objectives of the legal department and the firm as a whole.
Qualifications and Experience:
A Juris Doctor (JD) or equivalent law degree from an accredited institution is a prerequisite, coupled with active bar admission in a recognized jurisdiction. A minimum of 10 years of specialized experience in M&A law, preferably gained at a leading law firm or as senior in-house counsel for a publicly traded corporation, is mandatory. Demonstrated success in managing complex, multi-jurisdictional M&A transactions is highly desirable. A deep comprehension of corporate finance, securities regulations, and corporate governance principles is essential. Superior negotiation, complex drafting, and astute analytical abilities are critical. Exceptional leadership, project management proficiency, and outstanding communication skills are necessary to effectively lead remote M&A teams. Familiarity with legal technology platforms and due diligence management tools is advantageous.
