Job Purpose
Legal Counsel is responsible for management of civil and criminal court cases, maintenance of the litigation database and assisting in case investigation and assessment on behalf of the company. Your Role

Deputy Director, Legal

What You'll Do

  • Partner with other Foundation operations teams to support Foundation goals and policies as appropriate.
  • Build relationships with and manage outside counsel, as applicable.
  • Support training and education of Foundation personnel on legal issues, as well as grantees and partners as appropriate.
  • Keep current on and track relevant applicable new and emerging laws, policy developments and best practices, including those relating to tax-exempt organizations, private foundations, cross-border giving and operational compliance in Kenya and the wider African continent.
  • Travel to the Foundation's other Africa offices and its offices in the U.S. on a consistent basis required; travel to other Foundation offices as appropriate; and other travel as required.

Your Experience

  • Academic: Bachelor of Laws (LLB) degree from a recognized university required; Masters of Law preferred.
  • Professional: Admitted as an Advocate of the High Court of Kenya with a current practicing certificate. Member in good standing of the Law Society of Kenya.
  • Minimum of 12 years' experience in the practice of law, of which at least seven years must have been in Kenya.
  • Combination of law firm and in-house counsel experience strongly preferred.
  • History of effectively supporting a demanding client base, serving as counselor on ground-breaking, emerging legal issues in a complex, fast-paced and evolving legal and policy environment.
  • Direct experience guiding and generally advising clients on broad and multi-jurisdictional commercial legal and business matters in cross-cultural, multilingual, and often politically sensitive environments on the African continent is a plus.
  • Experience with supporting grant making and other investment vehicles within philanthropy or representing an international non-governmental agency or a U.S. based not-for-profit is a plus.

The Position

General Counsel & Corporation Secretary

Purpose:
To lead AGRA's legal function and governance, ensuring the institution operates with integrity, compliance, and accountability while maximizing the effectiveness of its Board and governance structures.

Core Duties and Responsibilities

• Prepare legal documents.

• Compile legal documentation into files and maintain an organized filing system.

• Compile case materials and write reports.

• Through follow up and updating management on case files for all the departments.

• Documenting hearing dates in litigation matters.

• Facilitating service of legal documents.

• Filing court documents and any other legal documents.

• Organizing the legal department registries.

• Assist paralegals and advocates in locating files and organizing, copying, and maintaining documents.

• Providing any other legal clerical services that may be required.

• Any other related duties as allocated.



Job Specifications and Qualifications

• Diploma in Law or Business Administration from a recognized institution.

• At least 3 years of work experience in a law firm.

Role Objective

A well-established law firm based in Nairobi, spanning over 3 decades seeks to hire a customer centric individual for a legal secretary position. It deals with various legal services but not limited to Real Estate, Banking, Conveyancing, Commercial and Litigation.



Core Duties and Responsibilities

• Supervisory In charge of junior staff- delegating tasks etc

• Preparation of bids, tenders, proposals, presentations in order to ensure that the business development initiatives turnaround time is well achieved.

• Attending to all correspondence on mail, calls and other channels.

• In charge of administration and secretarial duties.

• Preparation of various administrative and operational reports.

• In charge of ensuring that various office utility bills and timely payments and follow up.

• Preparation of meetings, office events and industry relevant activities.

• Act as the key liaison contact for the office between the various stakeholders such as government authorities, suppliers, clients, staff etc

• Organizing and diarizing the Director’s calendar, diaries, scheduling appointments, and coordinating meetings in a pro-active and efficient manner.

• Preparing briefs, minutes and reports for the meetings.

• Running personal errands for the Partner as required.

• Representing the Partner and management in various meetings.

• Key liaison contact between the firm and the stakeholders.

• Any other duties as allocated.



Job Specifications and Qualifications

• Certificate or Diploma in Business Administration and or related field.

• At least 5 years’ experience.

RESPONSIBILITIES

Preparation and editing of documents- pleadings, demand letters, conveyance documents for approval by advocate

Undertake assignments at land registry, companies, courts and other offices as maybe required

Deliver documents including summons and other court documents.

Prepare correspondence- letters, emails etc.

Respond to communication in consultation with the advocate

Ensure Client communications and prompt updates.

Ensure prompt and smooth processing of bring up files and follow up action as instructed.

Synchronizing Master Diary and advocates diaries- confirm matters coming up, person handling, and action required etc.
