This is a remote-first opportunity, demanding exceptional autonomy and communication skills.

Responsibilities:
  • Lead and manage all legal aspects of M&A transactions, from initial due diligence and negotiation to drafting and closing agreements.
  • Advise senior management and business units on legal risks and strategic considerations related to potential acquisitions, divestitures, joint ventures, and other corporate transactions.
  • Draft, review, and negotiate a wide range of complex commercial contracts, including acquisition agreements, shareholder agreements, partnership agreements, and service agreements.
  • Conduct thorough legal due diligence on target companies, identifying potential legal, regulatory, and compliance issues.
  • Manage outside counsel and external advisors effectively, ensuring cost-efficiency and high-quality service delivery.
  • Develop and implement corporate policies and procedures to ensure compliance with relevant laws and regulations.
  • Provide legal support for corporate governance matters, including board meetings, shareholder communications, and regulatory filings.
  • Stay current with evolving legal landscapes, particularly in corporate law, M&A, and international business.
  • Collaborate effectively with finance, HR, and operational teams in a remote setting to achieve business objectives.
  • Manage litigation and dispute resolution matters as needed.
Qualifications:
  • Juris Doctor (JD) or equivalent law degree from a reputable institution.
  • Admission to practice law in good standing in at least one relevant jurisdiction.
  • Minimum of 8 years of relevant legal experience, with a significant focus on M&A transactions, gained at a top-tier law firm or in-house legal department.
  • Demonstrated expertise in drafting, negotiating, and closing complex M&A deals.
  • Strong knowledge of corporate law, securities law, contract law, and relevant regulatory frameworks.
  • Experience with international transactions and cross-border M&A is highly desirable.
  • Excellent analytical, strategic thinking, and problem-solving abilities.
  • Exceptional negotiation, drafting, and communication skills, both written and verbal.
  • Proven ability to manage multiple complex projects simultaneously and work autonomously in a remote environment.
  • High ethical standards and integrity.
  • Proficiency in legal research tools and technologies.
