You will be responsible for advising on all aspects of corporate governance, ensuring compliance with statutory and regulatory requirements, and supporting the board of directors and executive management. - Prepare board and committee meeting agendas, minutes, and related materials.
- Advise on executive compensation, stock option plans, and other equity-based compensation arrangements.
- Manage subsidiary governance and compliance, including the establishment and dissolution of legal entities.
- Develop and implement corporate policies and procedures, including codes of conduct and ethics.
- Stay abreast of changes in corporate law and governance best practices, assessing their impact on the company.
- Liaise with external counsel, regulators, and auditors on corporate governance matters.
- Assist in the preparation of annual reports, proxy statements, and other public filings.
- Conduct legal research and provide analysis on complex governance issues.
- Support M&A transactions from a corporate governance and legal due diligence perspective.
- Promote a strong corporate governance culture throughout the organization.
- Handle investigations and advise on disclosure obligations.
Qualifications:
- Juris Doctor (JD) or equivalent law degree from a reputable institution.
- Admission to the bar in a relevant jurisdiction and in good standing.
- Minimum of 7-10 years of experience practicing corporate law, with a significant focus on corporate governance.
- Extensive knowledge of corporate law, securities regulations, and corporate governance principles.
- Experience advising public or private companies on board effectiveness and compliance.
- Proficiency in drafting and reviewing complex legal documents.
- Excellent analytical, research, and problem-solving skills.
- Strong understanding of financial statements and business operations.
- Exceptional written and verbal communication skills, with the ability to explain complex legal concepts clearly.
- Proven ability to work independently, manage multiple priorities, and meet tight deadlines in a remote setting.
- High level of integrity, discretion, and professionalism.
- Experience with virtual meeting platforms and digital document management systems.
- Familiarity with international corporate governance standards is a plus.
