You will be responsible for managing and executing complex M&A transactions, from initial due diligence through to post-completion integration. Your duties will include drafting and negotiating acquisition agreements, advising on deal structuring, and ensuring compliance with all relevant legal and regulatory requirements. You will collaborate closely with internal business teams, external counsel, and financial advisors, providing strategic legal guidance throughout the transaction lifecycle. A minimum of 8-10 years of progressive experience in corporate law, with a significant focus on M&A, is required. Excellent analytical, drafting, and negotiation skills are paramount. Strong understanding of corporate finance, securities law, and international deal-making is highly advantageous. Our client is seeking an accomplished and strategic Lead Corporate Counsel with extensive experience in Mergers & Acquisitions (M&A) to join their legal team. This is a pivotal fully remote position that will play a crucial role in structuring, negotiating, and closing complex corporate transactions. The successful candidate will leverage their deep legal expertise to provide comprehensive counsel on all M&A-related activities.

- Lead and manage all aspects of M&A transactions, from due diligence to post-closing integration.
- Draft, review, and negotiate a wide range of transactional documents, including merger agreements, stock purchase agreements, asset purchase agreements, and ancillary agreements.
- Conduct thorough legal due diligence on target companies, identifying potential risks and liabilities.
- Advise senior management and business stakeholders on legal implications and risks associated with potential transactions.
- Coordinate with external counsel, investment bankers, and other advisors on M&A deals.
- Ensure compliance with all applicable securities laws, corporate governance regulations, and other relevant legal frameworks.
- Develop and implement legal strategies to support the company's growth objectives.
- Manage post-closing integration efforts from a legal perspective.
