Our client is seeking a seasoned and strategic Lead Corporate Counsel with extensive experience in Mergers & Acquisitions (M&A) to join their legal team. This is a fully remote position, offering a pivotal role in guiding the company through complex transactions and ensuring robust legal frameworks. You will be responsible for managing all legal aspects of M&A activities, from initial due diligence and deal structuring through to negotiation, documentation, and closing. Key responsibilities include conducting legal due diligence on target companies; advising senior management and business teams on legal risks and opportunities associated with potential acquisitions, divestitures, and joint ventures; drafting and negotiating a wide range of transaction agreements (e.g., stock purchase agreements, asset purchase agreements, merger agreements, ancillary documents); managing outside counsel effectively; ensuring compliance with all applicable corporate, securities, and antitrust laws; advising on post-closing integration matters; and developing and implementing best practices for M&A legal processes. The ideal candidate will possess a Juris Doctor (JD) or equivalent degree from a reputable law school and be admitted to practice law in a relevant jurisdiction. A minimum of 8-10 years of progressive experience focused on M&A transactions, preferably within a dynamic corporate legal department or a top-tier law firm, is required. Strong understanding of corporate finance, securities law, and relevant regulatory frameworks is essential. Exceptional analytical, negotiation, drafting, and communication skills are paramount for success in this high-stakes role.
