Our client, a rapidly expanding international conglomerate, is seeking an experienced Corporate Counsel specializing in Mergers & Acquisitions (M&A) to join their esteemed legal department on a fully remote basis. This critical role will involve providing comprehensive legal support throughout the M&A lifecycle, from initial due diligence to post-closing integration. You will be instrumental in structuring, negotiating, and drafting complex transaction agreements, ensuring legal compliance and mitigating risk for all parties involved. This position requires a sharp legal mind, meticulous attention to detail, and the ability to manage multiple high-stakes projects simultaneously in a virtual environment.
Responsibilities include conducting in-depth legal due diligence, identifying potential risks and liabilities, and advising senior management on legal strategies for potential acquisitions and divestitures. You will also be responsible for preparing and reviewing all relevant legal documentation, including term sheets, letters of intent, purchase agreements, and ancillary documents. Collaboration with internal stakeholders, external counsel, and regulatory bodies across various jurisdictions will be a key aspect of this role. The ideal candidate will possess a strong understanding of corporate law, securities regulations, and cross-border transactions. Excellent negotiation, analytical, and communication skills are essential for navigating complex legal landscapes. Membership in good standing with the relevant bar association and a Juris Doctor (JD) or equivalent law degree from an accredited institution are required. A minimum of 7 years of experience practicing M&A law, preferably within a reputable law firm or in-house legal department, is necessary.
